Upwork Inc. shares plunged sharply in after-hours trading, falling 21.2% after the company released its second-quarter 2026 results and issued revenue guidance that missed Wall Street expectations by a sizable margin.
Management set Q3 2026 revenue guidance at $176 million to $184 million, versus an analyst consensus near $194 million. For full-year 2026, the company projected revenue of $730 million to $750 million, a range that also came in well below estimates and sparked the rapid market reaction.
Despite the guidance disappointment, the reported quarterly metrics contained positive elements. Adjusted earnings per share were $0.41, ahead of the $0.34 consensus. Reported revenue for the quarter was $191.7 million, slightly above the $190.1 million estimate. Those beats, however, were overshadowed by weakening operating fundamentals that investors focused on.
Key customer and volume metrics deteriorated year-over-year. Active clients declined to 763,000 from 796,000 a year earlier, continuing a multi-quarter downtrend. Gross services volume fell 4% versus the prior year, to $966.4 million. On a GAAP basis, net income decreased 22% to $25.4 million, or $0.20 per diluted share, compared with $0.24 in Q2 2025.
Investor concern was amplified by an operational detail disclosed ahead of the print: the company’s chief financial officer had been on temporary medical leave, and the chief executive officer had taken on interim finance responsibilities heading into the report.
The wider market provided little support for Upwork’s shares. U.S. equities were largely flat on the day, with the S&P 500 little changed and the Nasdaq Composite marginally lower. Market participants were operating in a quiet macro environment ahead of consumer price index and producer price index data scheduled later in the week, and there were no major central bank announcements or other economic releases to shift sentiment materially.
Analysts and investors had already marked down expectations in recent months. Shares were trading substantially below their 52-week high of $22.84, and average analyst price targets had been reduced to roughly $10. The combination of a steep forward guidance cut, ongoing declines in active clients and gross services volume, and a neutral market backdrop produced a decisive selloff after hours.
