Shares of Qtrex Quantum Ltd (NASDAQ:QTEX) slid about 16% in premarket trading following the company's announcement of a $10 million registered direct offering.
Under the terms of a definitive securities purchase agreement, Qtrex will issue 11,111,111 ordinary shares to institutional buyers. The placement will involve participation from one of the company's existing institutional investors and a new global institutional investor, according to the company's disclosure.
The deal is expected to close on or about August 21, 2026, although the completion remains subject to customary closing conditions. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
Qtrex said it plans to apply the net proceeds from the offering to working capital and general corporate purposes, after deducting placement agent fees and other estimated offering expenses.
Operationally, the Israel-based company is focused on advancing Additively Manufactured Electronics - or AME - for quantum computing infrastructure. Following its acquisition of the AME platform, Qtrex is developing high-density, thermally optimized quantum connectivity solutions designed for dilution cryostats. The company is also working to expand AME applications across defense, aerospace, missile, space and other mission-critical environments.
In parallel, Qtrex continues to advance a medical technology portfolio that includes respiratory support and blood monitoring platforms. The company said it is also working to monetize certain portions of its medical business.
Context and implications
The share sale represents a capital-raising step intended to bolster Qtrex's balance sheet for near-term needs. The company has specified that the funds will be used for working capital and general corporate purposes, rather than for any particular product development program.
Because the offering involves both an existing institutional investor and a new global institutional investor, the transaction reflects continued institutional interest in the company even as the stock reacted negatively in premarket trading.
What remains conditional
The closing is not guaranteed until customary closing conditions are satisfied. The timeline provided - on or about August 21, 2026 - is an expected date and could change if conditions are not met.
Note: The company's disclosures describe planned uses for proceeds and the strategic focus on AME for quantum connectivity as well as ongoing activity in medical technologies. No additional financial projections or guidance were provided in the announcement.
