NXP Semiconductors is in discussions to acquire Ambarella, a chip designer that builds AI-enabled image-processing semiconductors for camera systems, including applications in advanced driver assistance and self-driving vehicles. Ambarella, headquartered in San Francisco, focuses on edge AI chips that run models on devices rather than relying on cloud processing. The company had a market valuation of about $3.3 billion as of Friday.
For NXP, a purchase of Ambarella would shore up its automotive portfolio. Automotive products are expected to comprise roughly half of NXP's projected $15.1 billion in revenue this year, and Ambarella's image-processing semiconductors are used in security cameras as well as vehicle perception systems.
The potential transaction arrives amid a period of consolidation among chip suppliers as companies position themselves for increased AI-related demand. Recent large deals in the semiconductor sector include Texas Instruments' agreement to buy Silicon Labs for $7.5 billion earlier this year, and SoftBank's acquisition of Ampere Computing for $6.5 billion last year.
NXP, which is based in the Netherlands, has generally stayed away from large acquisitions in recent years. The company previously agreed to be acquired by Qualcomm for $47 billion in 2016, a deal that collapsed two years later after failing to obtain Chinese regulatory approval.
Market moves accompanied the report. Ambarella shares traded sharply higher, up more than 17.5% following the announcement. Market quotes showed AMBA up about 17.57% while NXPI quotes appeared down roughly 3.77%; another trading update noted NXP trading down about 3.3%.
Year-to-date performance figures showed NXPI up 11% so far this year, giving the company a market capitalization of roughly $62 billion as of Friday. Ambarella's market capitalization remained near the $3.3 billion mark noted above.
