AMC Robotics Corporation announced a delay in filing its Annual Report on Form 10-K for the fiscal year ending December 31, 2025, beyond the SEC deadline of April 15, 2026. The delay is due to additional time needed to finalize accounting treatment for warrants issued in a prior private financing tied to its business combination with AlphaVest Acquisition Corp. The company emphasized this is a technical accounting issue and does not reflect operational or financial performance changes.

Key Points

  • The company is delaying its annual 10-K filing beyond the SEC deadline due to complex accounting treatment for warrants from a recent private financing.
  • AMC Robotics has recently completed a business combination with AlphaVest Acquisition Corp, impacting its financial disclosures.
  • The firm's core business as an AI-driven robotics provider, including its Kyro™ quadruped robotics platform, remains unaffected by the filing delay.

NEW YORK, April 15, 2026 (GLOBE NEWSWIRE) -- AMC Robotics Corporation (Nasdaq: AMCI) (“AMC Robotics” or the “Company”), an AI-driven robotics solutions provider, today announced that it will delay the filing of its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 beyond the April 15, 2026 deadline required under SEC rules.

The delay is attributable to additional time necessary to finalize the accounting treatment for the warrants issued in the Company's previously announced private financing completed in connection with the business combination with AlphaVest Acquisition Corp. The Company and its advisors are working to finalize the appropriate accounting classification and disclosure for the warrants in accordance with U.S. GAAP. This technical accounting matter does not reflect any change in the Company's underlying business operations or financial performance.
