Svatantra Microfin has submitted draft documents for an initial public offering valued at 30 billion rupees, equivalent to approximately $314.33 million, according to regulatory filings disclosed on Thursday. The proposed offering is structured as a combination of new shares and a secondary sale by current investors.
Under the plans outlined in the filing, the company intends to raise up to 15 billion rupees through a fresh issuance of equity. At the same time, existing shareholders - private equity firms Advent International and Multiples - will put up to 15 billion rupees worth of shares on offer in a secondary transaction.
The two private equity investors collectively injected 19.30 billion rupees into Svatantra Microfin in March 2024. According to the draft papers, an Advent affiliate, Violicina, holds a 28.02% stake in the lender, while Multiples owns 11.45%.
Svatantra Microfin is identified in the filing as India’s second-largest microfinance institution by assets under management. The company reported assets under management of about 211 billion rupees as of March, according to the draft prospectus.
Founded by Ananya Birla, who is noted in the documents as the company’s founder and the daughter of billionaire Kumar Mangalam Birla, the lender focuses on extending loans to women in rural communities. The firm’s stated lending target is households with annual incomes up to 300,000 rupees.
The timing of the IPO filing coincides with a recovery in India’s primary market following a soft first half of the year. The filing notes that market sentiment had earlier been affected by the Middle East conflict and rising crude oil prices, factors that weighed on primary market activity.
The draft prospectus provides the basic parameters of the transaction and ownership details, while further specifics on pricing and timing will be determined as the offering process proceeds.
