Prologis stock slipped 3.0% in morning trading, changing hands at $139.82, after the real estate investment trust disclosed a recommended acquisition of SEGRO plc valued at $18.8 billion and announced an accompanying equity offering. The market response was driven chiefly by concerns over the increase in outstanding shares required to fund the transaction.
Under the terms laid out by Prologis, each SEGRO share will be exchanged for 0.0920 newly issued Prologis shares. A partial cash option is available to SEGRO shareholders but is capped at about A33.5 billion, implying that a large portion of the purchase price will be settled in Prologis stock and that a substantial number of new Prologis shares will be created to effect the combination.
At the same time, Prologis launched and priced an underwritten public offering of 15 million shares of its common stock. The underwriting agreement gives the underwriters a 30-day option to buy up to an additional 2.25 million shares. The deal is expected to bring in roughly $2.1 billion in gross proceeds, with J.P. Morgan and BofA Securities serving as joint bookrunners.
Chief Executive Officer Daniel S. Letter said the tie-up "will create meaningful value" by integrating SEGROs European holdings with Prologiss global platform. Nevertheless, management tempered immediate earnings expectations by forecasting that the transaction will be broadly neutral to minimally dilutive to Core FFO and AFFO per share in the first full year following closing.
The timeline for completing the transaction remains subject to regulatory and shareholder approvals, with Prologis targeting a close in the first half of 2027.
The stock's downbeat performance stands out against a constructive backdrop for the broader market. On the same session the S&P 500 was up +0.6%, the Dow Jones rose +1.4% and the Nasdaq advanced +1.0%, underscoring that the pressure on Prologis shares is largely company-specific and tied to the mechanics of the financing rather than to general market weakness.
Market data during the session showed SGRO up 1.08% while PLD was quoted in some feeds down 2.46%; Prologis traded well under its prior close of $144.15 and was near the lower end of the intraday range between $139.17 and $140.08.
Taken together, the scale of expected share issuance - from the stock portion of the acquisition consideration plus the concurrent equity sale - has overshadowed the strategic rationale for creating a combined, roughly $269 billion global logistics real estate platform. That dilution narrative prompted the selloff and left the stock trading below yesterdays close.
