Key Points

  • Digi Power X committed $35 million to acquire NVIDIA Vera Rubin rack-scale systems to expand its NeoCloudz GPU-as-a-Service capacity.
  • The Vera Rubin systems pair Rubin GPUs with 288GB HBM4 memory and an 88-core Vera CPU connected with NVLink 6; initial deployment is targeted for Q1 2027, subject to NVIDIA’s production and delivery schedule.
  • The company reported about $150 million in cash and cash equivalents as of June 3, 2026, and has deployed roughly $65 million into its Alabama site year-to-date; Phase 1 of the AI campus (15 MW) targets a December 15, 2026 ready-for-service date with full 40 MW by the end of the first fiscal quarter of 2027.

Digi Power X Inc. (NASDAQ:DGXX) shares climbed 7% Wednesday after the company disclosed a $35 million purchase commitment to acquire NVIDIA’s next-generation Vera Rubin platform. The order is intended to provide compute capacity for Digi Power X’s NeoCloudz GPU-as-a-Service business.

The company said the Vera Rubin systems are NVIDIA’s rack-scale successor to Blackwell and pair Rubin GPUs with 288GB of HBM4 memory and an 88-core Vera CPU connected via NVLink 6. Digi Power X indicated initial deployments of the Vera Rubin systems are targeted for the first quarter of 2027, with timing dependent on NVIDIA’s production and delivery schedule.

Digi Power X said it plans to fund the $35 million purchase from cash on hand and will offer the acquired capacity through its NeoCloudz platform. In addition to the equipment commitment, the company provided an update on construction and operations for its purpose-built AI data center campus.

The firm reiterated that development remains on schedule. Phase 1 of the campus, which will support 15 MW of IT load, is targeted to be ready for service on December 15, 2026. The full campus buildout is expected to reach 40 MW of IT load by the end of the first fiscal quarter of 2027.

NeoCloudz has been running AI workloads on a deployed fleet of NVIDIA B200 and B300 GPUs on a continuous basis since May 15, 2026, the company said, and it recognized its first AI-related revenues in May 2026.

On the company’s balance sheet, Digi Power X reported approximately $150 million in cash and cash equivalents as of June 3, 2026. The firm has already deployed about $65 million of capital into its Alabama site year-to-date, according to Paul Ciullo, Chief Financial Officer of Digi Power X.

To support the remainder of the data center buildout, the company is arranging project-level financing. Digi Power X said it will provide further details when definitive documentation has been executed.

Operational context

  • Equipment commitment: $35 million to purchase NVIDIA Vera Rubin systems for NeoCloudz.
  • Hardware specifics: Rubin GPUs paired with 288GB HBM4 and an 88-core Vera CPU across NVLink 6.
  • Deployment schedule: initial deployment targeted in Q1 2027, contingent on NVIDIA production and delivery timelines.

Financial and buildout update

  • Cash position: approximately $150 million in cash and equivalents as of June 3, 2026.
  • Capital already invested: about $65 million deployed into the Alabama site year-to-date.
  • Data center milestones: Phase 1 (15 MW IT load) targeted ready-for-service on December 15, 2026; full 40 MW expected by end of the first fiscal quarter of 2027.

This update outlines the company’s near-term hardware build and funding approach without providing new financing details beyond the intent to arrange project-level financing and to report specifics after definitive documentation is executed.

Risks

  • Timing and availability of the Vera Rubin systems hinge on NVIDIA’s production and delivery schedule, creating execution uncertainty for initial deployment - impacts AI infrastructure and data center buildouts.
  • Project-level financing for the data center buildout is still being arranged and details will be provided only after definitive documentation is executed, leaving financing terms and timing uncertain - impacts capital markets and infrastructure financing.
  • While the company plans to fund the $35 million purchase from cash on hand, substantial capital has already been deployed into the Alabama site year-to-date, which may affect near-term liquidity planning - impacts corporate finance and cash management.
