Shares of Celestica fell sharply - down 15% on Thursday - after the electronic manufacturing services company revealed terms for a sizable equity offering that was priced beneath the stock's most recent close.
The company set the offering at 9,677,419 common shares, each offered at $310. That price represents a discount to Wednesday's closing price of $362.76. Gross proceeds from the primary portion of the sale, before underwriting discounts and expenses, are anticipated to total $3 billion.
Celestica granted the underwriters an option to buy up to an additional 1,451,612 common shares. That option may be exercised for a period of 30 days from the date of the final prospectus supplement.
According to the company's statement, net proceeds from the sale are intended to be directed toward working capital, to support investments in capital expenditures, and for other general corporate purposes.
The offering is expected to close on or about August 7, 2026, though completion is conditioned on customary closing requirements. Among those requirements is the listing of the additional common shares on both the New York Stock Exchange and the Toronto Stock Exchange.
BofA Securities and Citigroup have been named joint lead bookrunners for the transaction, while TD Securities is serving as a bookrunner.
