MALVERN, Pa., Aug. 05, 2026 (GLOBE NEWSWIRE) -- TELA Bio, Inc. ("TELA Bio") (NASDAQ: TELA), a commercial-stage medical technology company focused on providing innovative soft-tissue reconstruction solutions, today announced that the Board of Directors of TELA Bio approved inducement grants of stock options to purchase an aggregate of 2,370,000 shares of its common stock and restricted stock units covering 500,000 shares of its common stock to the Company’s newly-hired Chief Executive Officer, Heather Getz, with a grant date of August 3, 2026 (the "Getz Grant Date"). The stock options consist of (i) stock options to purchase 1,365,000 shares of common stock (the “Standard Options”) and (ii) premium-priced stock options to purchase 1,005,000 shares of common stock (the “Premium-Options”). Additionally, the Compensation Committee of the Board of Directors of TELA Bio approved inducement grants of restricted stock units covering 95,500 shares of its common stock to 11 newly-hired employees, with a grant date of August 4, 2026. The stock options and the restricted stock units discussed above were granted pursuant to the Nasdaq Rule 5635(c)(4) inducement grant exception as a component of Ms. Getz’s and each individual's employment compensation and were granted as an inducement material to his or her acceptance of employment with TELA Bio.

The Standard Options have an exercise price equal to $0.74 per share, the closing price of TELA Bio's common stock as reported on the Nasdaq Global Market on the Getz Grant Date. The Premium-Options have an exercise price equal to $0.90 per share. The stock options each have a ten-year term and vest over four years, with 25% of the shares underlying the stock option vesting on the first anniversary of the Getz Grant Date, and the remaining 75% of the shares vesting in equal monthly installments over 36 months thereafter, subject to Ms. Getz’s continued service with TELA Bio through the applicable vesting dates.

The restricted stock units will vest in equal annual installments over four years, subject to Ms. Getz’s and each individual's continued service with TELA Bio through the applicable vesting dates.
