1. Acceptance of Terms

By accessing, browsing, or using the TradeVae Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and TradeVae.

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" will refer to both you and the organization.

If you do not agree with any part of these Terms, you must not access or use the Platform. Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of the modified Terms.

2. Eligibility & User Representations

Age Requirement: You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements.

Legal Capacity: You represent and warrant that you have the legal right, authority, and capacity to enter into these Terms and to use the Platform in accordance with all applicable laws and regulations.

Compliance with Laws: You represent and warrant that your use of the Platform complies with all applicable local, state, national, and international laws, rules, and regulations, including but not limited to securities laws, financial regulations, and data protection laws.

Prohibited Jurisdictions: The Platform may not be available in all jurisdictions. If you are located in a jurisdiction where the Platform is prohibited by law, you must not access or use the Platform. TradeVae reserves the right to restrict access to the Platform in certain jurisdictions at its sole discretion.

3. Description of Services

TradeVae provides an AI-powered trading and investment intelligence platform designed to support better decision-making through analysis, signals, and education. Our Services include, but are not limited to:

AI-generated market analysis and insights
Stock screening and filtering tools
Market alerts, signals, and notifications
Thematic investing insights and analysis
Portfolio and watchlist analytics
Educational content and resources
Market data, quotes, and financial information
Earnings predictions and analysis
State of market reports
AI-powered chat assistant for financial information

Informational and Educational Purpose: All Services are provided for informational and educational purposes only. The Services are designed to help you gather information, analyze markets, and make more informed decisions. They do not constitute investment, financial, legal, or tax advice.

Service Modifications: TradeVae reserves the right to modify, suspend, discontinue, or change any aspect of the Services at any time, with or without notice. We may add new features, remove existing features, or change the functionality of the Platform at our sole discretion. TradeVae does not guarantee that any particular feature or service will remain available.

AI OUTPUTS ARE NOT ADVICE: All AI-generated content, analysis, insights, signals, predictions, and recommendations provided through the Platform are generated by artificial intelligence systems and are NOT financial, investment, legal, or tax advice. These outputs are informational tools designed to assist your own research and analysis.

YOUR SOLE RESPONSIBILITY: You are solely responsible for all investment and trading decisions you make. You acknowledge that all trading and investment decisions involve risk, including the potential loss of principal. You should never invest or trade with money you cannot afford to lose.

CONSULT PROFESSIONALS: Before making any investment or trading decisions, you should consult with qualified financial advisors, tax professionals, and legal counsel who can provide advice tailored to your specific circumstances. TradeVae does not replace the need for professional financial advice.

NO GUARANTEES: TradeVae makes no representations, warranties, or guarantees regarding the accuracy, completeness, or suitability of any information provided through the Platform for any particular investment or trading strategy. There are no guarantees of profits, returns, or successful outcomes.

5. AI-Generated Content Disclaimer

Artificial Intelligence: Many features of the TradeVae Platform utilize artificial intelligence, machine learning, and automated systems to generate content, analysis, insights, and recommendations. These AI systems are trained on historical data and may produce outputs that are inaccurate, incomplete, delayed, or incorrect.

AI Limitations: AI systems may:

Generate incorrect or misleading information
Produce outputs based on incomplete or outdated data
Fail to account for current market conditions or breaking news
Contain errors, omissions, or inconsistencies
Be subject to technical limitations, bugs, or system failures
Produce different outputs for similar inputs

Market Data: Market data, quotes, and financial information provided through the Platform may be delayed, stale, or inaccurate. Real-time data is subject to delays, transmission errors, and system limitations. TradeVae does not guarantee the timeliness, accuracy, or completeness of any market data.

Independent Verification Required: You must independently verify all information, analysis, and recommendations provided through the Platform before making any investment or trading decisions. Do not rely solely on AI-generated content. Always cross-reference information with multiple sources and consult with qualified professionals.

No Responsibility for Reliance: TradeVae is not responsible for any losses, damages, or negative consequences arising from your reliance on AI-generated content, analysis, or recommendations. You acknowledge that AI systems have inherent limitations and may produce unreliable outputs.

6. Account Registration & Security

Account Creation: To access certain features of the Platform, you may be required to create an account. During registration, you must provide accurate, current, and complete information. You agree to update your account information promptly if it changes.

Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

Use a strong, unique password
Not share your account credentials with any third party
Immediately notify TradeVae of any unauthorized access or use of your account
Log out of your account when using shared or public devices
Take all reasonable steps to protect your account from unauthorized access

Account Activity: You are responsible for all activities that occur under your account, whether authorized by you or not. TradeVae is not liable for any loss or damage arising from unauthorized use of your account.

Suspension and Termination: TradeVae reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Misrepresentation of identity or information
Failure to pay required fees
Any other conduct that TradeVae deems harmful to the Platform or other users

7. Subscriptions, Billing & Payments

Free and Paid Plans: TradeVae may offer both free and paid subscription plans. Free plans may have limited features, functionality, or usage limits. Paid plans provide access to additional features and higher usage limits.

Subscription Terms: If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Subscription fees are billed in advance on a recurring basis (monthly, quarterly, or annually, as applicable) and are non-refundable except as required by law or as otherwise stated in these Terms.

Auto-Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for the same term. You authorize TradeVae to charge your payment method on file for the renewal fee.

Price Changes: TradeVae reserves the right to modify subscription prices at any time. Price changes will be communicated to you in advance. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Payment Failure: If payment fails or is declined, TradeVae may suspend or terminate your access to paid features until payment is successfully processed. TradeVae is not responsible for any fees charged by your financial institution related to failed payments.

Refunds: Subscription fees are generally non-refundable. Refunds may be provided at TradeVae's sole discretion or as required by applicable law. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period.

10. TradeVae Alpha Investment Returns Guarantee

Scope of Guarantee: This section applies ONLY to subscribers of the TradeVae Alpha subscription plan. The guarantee described herein is subject to strict eligibility requirements and limitations as set forth below.

10.1 Overview of the Guarantee

TradeVae offers a conditional performance guarantee for Alpha plan subscribers. This guarantee applies only to trades generated through the Daily Alpha Stock Picks feature ("Alpha Picks") and is limited to subscription fee reimbursement only.

Important Limitations:

This is NOT a guarantee of market performance
This is NOT insurance
This is NOT a promise of profit on any individual trade
This guarantee does NOT cover trading losses beyond the subscription fee refund
This guarantee does NOT guarantee profits or returns beyond the refund amount

The guarantee is subject to your strict compliance with all eligibility requirements set forth in Section 10.3. Failure to meet any eligibility requirement will void the guarantee.

10.2 Guaranteed Performance Threshold

Subject to your compliance with all eligibility requirements in Section 10.3, eligible Alpha subscribers are guaranteed to earn at least a 5% cumulative return on investment (ROI) on trades executed in accordance with Alpha Picks recommendations.

ROI Calculation:

ROI is measured only on Alpha Picks trades executed during your active Alpha subscription period
ROI calculation applies only to trades executed under the required conditions specified in Section 10.3
Return is calculated cumulatively over the active Alpha subscription billing cycle
ROI is calculated based on actual entry and exit prices, position sizes, and all applicable adjustments as communicated through Alpha alerts

If your cumulative ROI on eligible Alpha Picks trades falls below 5% at the end of your subscription billing cycle, and you have met all eligibility requirements, you may be eligible for a subscription fee refund as described in Section 10.7.

10.3 Mandatory Eligibility Requirements (STRICT)

This is the most critical subsection. The guarantee is VOID if you fail to meet ANY of the following requirements:

To be eligible for the guarantee, you MUST:

Follow EVERY Daily Alpha Stock Pick: Execute trades for every single Daily Alpha Stock Pick issued during the guarantee period. Skipping even one qualifying Alpha trade voids the guarantee in its entirety.
Investment Limit: Invest no more than $25,000 per individual Alpha Pick trade. Trades exceeding this limit are excluded from guarantee calculations.
Entry Range Compliance: Enter all trades within the defined entry price ranges specified in each Alpha Pick. Trades executed outside the stated entry parameters void eligibility for that trade and may void the entire guarantee.
Follow All Adjustment Alerts: You must promptly follow all adjustment alerts issued for Alpha Picks, including but not limited to:
- Stop-loss changes
- Profit target adjustments
- Position scaling instructions
- Early exit notifications
Timely Execution: Execute trades without delay beyond a commercially reasonable timeframe. Delayed execution that materially impacts trade performance may void eligibility.
Consistent Brokerage Account: Use one consistent brokerage account for all Alpha Picks trades. Trades executed across multiple accounts may void eligibility.
No Partial Participation: You may not cherry-pick, skip, or selectively execute only certain Alpha Picks. Partial participation voids the guarantee.
No Manual Overrides: You may not alter position sizing, entry prices, exit prices, or other trade parameters beyond what is specified in Alpha Picks and adjustment alerts. Manual overrides void eligibility.

⚠️ CRITICAL: Skipping even one qualifying Alpha trade, failing to follow any adjustment alert, or deviating from required trade parameters voids the guarantee in its entirety. TradeVae reserves the sole discretion to determine whether you have met all eligibility requirements.

10.4 Excluded Activities (Guarantee Void)

The following activities automatically void the guarantee:

Paper trading, simulated trading, or demo account trading
Options trading (unless explicitly stated as part of an Alpha Pick)
Trading leveraged products (margin, futures, CFDs, etc.) unless explicitly authorized
Trades executed outside the stated entry price parameters
Trades combined with hedging strategies or unrelated trading strategies that materially alter the risk profile
Trades executed in accounts that are not in your name or that you do not have full control over
Any activity that TradeVae determines, in its sole discretion, constitutes manipulation, abuse, or bad faith

10.5 Proof & Documentation Requirements

To prevent abuse and verify eligibility, you must provide the following documentation upon TradeVae's request:

Full brokerage trade confirmations for all Alpha Picks trades
Order execution timestamps showing entry and exit times
Entry and exit prices for all trades
Position sizes for each trade
Complete account statements covering the entire guarantee period
Proof of adherence to all Alpha Pick alerts and adjustments
Any additional documentation TradeVae may reasonably request

TradeVae's Rights: TradeVae reserves the right to:

Request additional documentation at any time
Reject incomplete, unverifiable, or fraudulent claims
Independently calculate and verify ROI
Conduct audits of your trading activity
Deny claims where documentation is insufficient or inconsistent

Failure to provide requested documentation within a reasonable timeframe (as determined by TradeVae) will result in automatic denial of your claim.

10.6 Claim Submission Window

Time Limit: Claims for the guarantee must be submitted within fifteen (15) calendar days following the end of the subscription billing cycle during which the guarantee period occurred.

Late Claims: Claims submitted after the 15-day window are automatically denied and will not be considered, regardless of circumstances.

Submission Method: Claims must be submitted through TradeVae's designated support channel (as specified on the Platform or communicated to subscribers). Claims submitted through other channels may not be processed.

No Retroactive Claims: TradeVae will not accept retroactive claims for past subscription periods. Claims may only be made for the most recent completed billing cycle.

10.7 Refund Scope & Limitations

Refund Amount: If you are eligible for the guarantee and your claim is approved, the remedy is limited solely to a full refund of the Alpha subscription fee for the billing cycle during which the guarantee period occurred.

What the Refund Does NOT Include: The refund does NOT include, and TradeVae is NOT responsible for:

Trading losses of any kind
Opportunity cost or lost profits
Taxes or tax consequences
Brokerage fees, commissions, or transaction costs
Slippage or execution costs
Any losses beyond the subscription fee amount
Refunds for prior subscription periods
Any other costs, expenses, or damages

Single Billing Cycle: The refund applies only to the specific billing cycle for which the claim is made. Refunds do not apply to previous or future subscription periods.

Refund Processing: Approved refunds will be processed to the original payment method used for the subscription, subject to processing times and any limitations imposed by payment processors.

10.8 No Stacking or Repeated Claims

One-Time Guarantee: The guarantee may only be claimed once per subscriber, regardless of the number of subscription cycles or billing periods.

Abuse Prevention: TradeVae reserves the right to deny claims and take action, including but not limited to:

Account termination for abuse or manipulation
Permanent ineligibility for future guarantee claims
Legal action for fraudulent claims

Sole Discretion: TradeVae reserves sole discretion to deny claims involving manipulation, bad faith, abuse, or violation of these Terms. TradeVae's determination regarding claim eligibility and approval is final and binding.

10.9 Right to Modify or Discontinue Guarantee

Modification Rights: TradeVae reserves the right, at its sole discretion, to:

Modify the terms, conditions, or requirements of the guarantee
Suspend the guarantee temporarily or permanently
Discontinue the guarantee program entirely

Prospective Application: Any modifications, suspensions, or discontinuations apply prospectively only. Changes will be communicated to subscribers through the Platform or via email to the address associated with your account.

Existing Subscribers: Existing eligible subscribers retain protection for the active billing cycle in which the change is announced, but subsequent billing cycles will be subject to the modified terms or discontinuation, as applicable.

No Obligation to Continue: TradeVae has no obligation to continue offering the guarantee and may discontinue it at any time without liability to subscribers, except as set forth in this section.

10.10 Relationship to Financial Disclaimers

No Fiduciary Duty: This guarantee does NOT create a fiduciary duty between you and TradeVae. TradeVae is not acting as your investment advisor, financial advisor, or in any advisory capacity.

Not Investment Advice: This guarantee does NOT convert TradeVae into an investment advisor, broker-dealer, or registered financial advisor. TradeVae remains an informational and educational platform provider.

Disclaimers Remain in Effect: This guarantee does NOT override, modify, or supersede any financial risk disclosures, investment disclaimers, or limitations of liability set forth elsewhere in these Terms, including but not limited to:

Section 4: No Investment Advice Disclaimer
Section 5: AI-Generated Content Disclaimer
Section 14: Limitation of Liability
Section 16: Disclaimer of Warranties

All such disclaimers, limitations, and risk disclosures remain in full force and effect and apply to your use of the Platform, including your participation in the Alpha Picks program and this guarantee.

Independent Legal Effect: This guarantee is a limited subscription fee refund program and does not create any additional rights, obligations, or legal relationships beyond those expressly set forth in this section.

8. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software, algorithms, or AI models used in the Platform
Scrape, crawl, or use automated systems to access, collect, or extract data from the Platform without explicit written permission
Attempt to manipulate markets, create artificial trading activity, or engage in any form of market manipulation
Upload, transmit, or distribute any viruses, malware, or malicious code
Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
Resell, redistribute, or commercially exploit any content, data, or outputs from the Platform without TradeVae's prior written consent
Interfere with or disrupt the Platform's servers, networks, or security systems
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Harass, abuse, threaten, or harm other users or TradeVae personnel
Violate any intellectual property rights of TradeVae or third parties
Use the Platform to compete with TradeVae or to develop competing products or services
Circumvent or attempt to circumvent any security measures, access controls, or usage limits

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may subject you to legal action.

9. Intellectual Property Rights

TradeVae Ownership: The Platform, including all software, code, algorithms, AI models, user interfaces, designs, graphics, text, content, trademarks, logos, and other materials, is owned by TradeVae or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

Limited License: Subject to your compliance with these Terms, TradeVae grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any right to:

Reproduce, distribute, or publicly display the Platform or its content
Modify, adapt, or create derivative works based on the Platform
Use the Platform for commercial purposes without written permission
Remove or alter any copyright, trademark, or proprietary notices

No Ownership Transfer: Nothing in these Terms transfers ownership of any intellectual property to you. All rights not expressly granted are reserved by TradeVae.

Feedback: If you provide feedback, suggestions, or ideas about the Platform, you grant TradeVae a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Platform without any obligation to compensate you.

10. User Content

User Ownership: You retain ownership of any content, data, or information you submit, upload, or provide to the Platform ("User Content").

License to TradeVae: By submitting User Content, you grant TradeVae a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating, promoting, and improving the Platform.

Content Removal: TradeVae reserves the right, but not the obligation, to review, monitor, edit, or remove any User Content at any time, for any reason, without notice. TradeVae may remove User Content that violates these Terms, is illegal, or is otherwise objectionable.

No Storage Obligation: TradeVae is not obligated to store, retain, or backup any User Content. You are responsible for maintaining backups of any important User Content.

User Content Representations: You represent and warrant that your User Content:

Does not violate any third-party rights, including intellectual property, privacy, or publicity rights
Is not illegal, harmful, or violates any applicable laws
Does not contain viruses, malware, or malicious code
Is accurate and not misleading

11. Third-Party Services & Data

Third-Party Data Providers: The Platform may rely on third-party data providers, APIs, and services to provide market data, financial information, and other content. TradeVae does not control, endorse, or assume responsibility for the accuracy, completeness, or availability of third-party data or services.

No Warranty for Third-Party Data: TradeVae is not responsible for:

Errors, inaccuracies, or omissions in third-party data
Interruptions, delays, or unavailability of third-party services
Changes to third-party APIs or data formats
Termination of third-party services or data feeds

Third-Party Links: The Platform may contain links to third-party websites, services, or resources. These links are provided for convenience only and do not constitute an endorsement by TradeVae. TradeVae is not responsible for the content, privacy practices, or terms of use of third-party sites.

Your Interactions: Your interactions with third-party services, including payment processors, are solely between you and the third party. TradeVae is not liable for any loss or damage arising from such interactions.

12. Platform Availability & Modifications

No Uptime Guarantee: TradeVae does not guarantee that the Platform will be available, accessible, or uninterrupted at all times. The Platform may be unavailable due to:

Scheduled maintenance or updates
Unscheduled downtime or technical issues
Third-party service outages
Network or connectivity problems
Force majeure events

Service Modifications: TradeVae reserves the right to modify, suspend, discontinue, or change any aspect of the Platform at any time, with or without notice. This includes but is not limited to:

Adding or removing features
Changing functionality or user interfaces
Modifying APIs or data formats
Discontinuing services or features

No Liability for Unavailability: TradeVae is not liable for any loss or damage arising from Platform unavailability, modifications, or discontinuation of services.

13. Termination of Use

Termination by You: You may stop using the Platform at any time. If you have a paid subscription, you may cancel it according to the cancellation procedures provided in your account settings or by contacting support.

Termination by TradeVae: TradeVae may suspend or terminate your access to the Platform, with or without notice, at any time and for any reason, including but not limited to:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Non-payment of required fees
Risk to the Platform, other users, or TradeVae
At TradeVae's sole discretion

Effect of Termination: Upon termination, your right to access and use the Platform will immediately cease. TradeVae may delete your account, User Content, and data associated with your account. TradeVae is not obligated to retain or provide you with any data after termination.

Surviving Provisions: The following provisions will survive termination of these Terms: Sections 4 (No Investment Advice Disclaimer), 5 (AI-Generated Content Disclaimer), 9 (Intellectual Property Rights), 14 (Limitation of Liability), 15 (Indemnification), 16 (Disclaimer of Warranties), and 17 (Governing Law & Dispute Resolution).

14. Limitation of Liability

NO LIABILITY FOR FINANCIAL LOSSES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEVAE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Financial losses, trading losses, or investment losses
Lost profits, revenue, or business opportunities
Loss of data or information
Loss of goodwill or reputation
Cost of substitute services
Any other damages arising from your use or inability to use the Platform

LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEVAE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO TRADEVAE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

APPLICABILITY: These limitations of liability apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise) and even if TradeVae has been advised of the possibility of such damages.

JURISDICTIONAL LIMITATIONS: Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

15. Indemnification

You agree to indemnify, defend, and hold harmless TradeVae, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use or misuse of the Platform
Your violation of these Terms
Your violation of any applicable laws or regulations
Your User Content
Your investment or trading decisions based on information from the Platform
Any claims by third parties arising from your use of the Platform

TradeVae reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with TradeVae's defense of such claims.

16. Disclaimer of Warranties

"AS IS" AND "AS AVAILABLE": THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEVAE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Warranties of fitness for a particular purpose
Warranties of accuracy, completeness, or reliability
Warranties of non-infringement
Warranties that the Platform will be uninterrupted, secure, or error-free
Warranties that defects will be corrected

NO GUARANTEES: TradeVae does not guarantee, represent, or warrant that:

The Platform will meet your requirements or expectations
The Platform will be available at all times or without interruption
Any information, data, or content provided through the Platform is accurate, complete, or current
Any AI-generated content, analysis, or recommendations are reliable or suitable for your purposes

YOUR USE AT YOUR OWN RISK: You acknowledge that your use of the Platform is at your own risk. TradeVae is not responsible for any errors, omissions, or inaccuracies in the Platform or any loss or damage resulting from your reliance on the Platform.

17. Governing Law & Dispute Resolution
